PaidUp Program Terms of Service

Welcome to PaidUp! These Program Terms ("Terms") govern your use of the PaidUp earned wage access service (the "Service" or "Program"). By using PaidUp, you agree to these Terms. Please read them carefully.


1. The PaidUp Program

PaidUp Technologies, Inc. ("PaidUp," "we," "us," or "our") provides a technology platform to employers ("Hiring Entities") that enables their employees and independent contractors ("you") to access wages you have already earned but have not yet been paid ("Unpaid Earnings").

Our service is designed for small-to-medium-sized businesses and companies with distributed workforces. The Program provides you with tools to monitor your earnings and access a portion of your Unpaid Earnings before your scheduled payday.


2. How PaidUp Works

2.1 Advance Capacity Calculation

Your available advance is calculated using our safety algorithm:

Available Advance = (Verified Unpaid Earnings × 60%) - Outstanding Advances

This 60% limit ensures you have sufficient remaining balance on your payday. The calculation is updated in real-time as you earn wages and request advances.

2.2 Requesting an Advance

Each time you request an advance, we will disclose:

  • The amount available to you (the "Amount Provided")
  • Any applicable fees based on your chosen transfer method
  • The delivery timeline

You will have an opportunity to accept or decline each transaction.

3. Assignment of Earnings

3.1 What You Agree To

When you accept a transaction, you irrevocably assign and transfer to PaidUp all rights to the amount of Unpaid Earnings you have requested, plus any applicable fees (the "Assigned Earnings").

This assignment allows PaidUp to receive payment for the Assigned Earnings directly from your Hiring Entity when payroll is processed.

3.2 Employer Responsibilities

Important: PaidUp does not take over your employer's obligations to you. Your Hiring Entity remains solely responsible for:

  • Accurately calculating your wages and tracking your hours
  • Processing payroll correctly and on time
  • Complying with all employment and wage laws

If you believe your hours or wages have been miscalculated, you must resolve that dispute directly with your Hiring Entity. PaidUp relies on the earnings data provided by your employer and does not independently verify this information.


4. Direct Deposit Modification and Repayment

4.1 How Repayment Works

Before you can use PaidUp, you must authorize us to directly modify a portion of your direct deposit routing on your behalf for repayment purposes.

Here's how it works:

  1. You request an advance through the PaidUp app
  2. We directly modify a portion of your direct deposit routing on your behalf through your employer's payroll system
  3. On your payday, your employer processes payroll and splits your direct deposit:
    • The advance amount plus fees is sent to a PaidUp account
    • The remainder of your paycheck is sent directly to your designated bank account
  4. PaidUp receives only the amount needed to cover the outstanding advance and fees

4.2 Your Authorization

By using PaidUp, you authorize:

  • PaidUp to directly modify a portion of your direct deposit routing on your behalf through your employer's payroll system
  • Your employer to split your direct deposit and send the advance amount plus fees to a PaidUp-controlled account
  • PaidUp to receive the Assigned Earnings directly from this split deposit
  • Your employer to send the remainder of your paycheck directly to your designated bank account

4.3 Duration of Direct Deposit Modification

Your direct deposit routing may be modified:

  • For the duration of each pay period in which you have outstanding advances
  • Until all outstanding advances are fully repaid
  • On an ongoing basis if you continue to use PaidUp services

You may not change your direct deposit information during a pay period in which you have outstanding advances. Attempting to do so may be considered fraud (see Section 5.3).

4.4 Restoring Your Original Direct Deposit

When you:

  • Close your PaidUp account, or
  • Have no outstanding advances and request to stop using the service

We will remove the partial direct deposit modification with your employer's payroll system, and your full paycheck will be sent to your designated bank account within a reasonable timeframe (typically 1-2 pay periods).


5. Non-Recourse Protection

5.1 What Non-Recourse Means

Our right to receive your Assigned Earnings is non-recourse. This is not a loan, and we are not creating any debt obligation owed by you to us.

If your Hiring Entity fails to pay us the full amount of the Assigned Earnings for any reason outside of your control (such as business closure, financial hardship, or failure to process payroll), you will owe us nothing.

5.2 Our Promise to You

Under such circumstances, we will have no legal or contractual claim against you. PaidUp will NOT:

  • Engage in debt collection activities against you
  • Report non-payment to consumer reporting agencies
  • Place unpaid amounts with third-party collection agencies
  • Pursue legal action against you for non-payment
  • Initiate direct debits from your personal bank account (beyond the direct deposit modification described in Section 4)

We assume the risk of non-payment from your Hiring Entity when they fail to pay through no fault of your own.

5.3 Exceptions to Non-Recourse Protection

PaidUp may take action to recover funds in cases of:

  1. Fraud or misrepresentation, including but not limited to:

    • Providing false information about hours worked or earnings
    • Deliberately changing your direct deposit routing to avoid repayment
    • Attempting to circumvent the direct deposit modification system
    • Creating multiple accounts to access advances you're not entitled to
    • Colluding with others to defraud PaidUp
  2. Erroneous overpayments where we inadvertently:

    • Disbursed an advance you did not request
    • Sent an amount exceeding your request
    • Sent an amount you were not entitled to receive due to a system error
  3. Duplicate payments where you received payment for the same Assigned Earnings from:

    • Both PaidUp and your employer directly
    • Multiple PaidUp disbursements for the same pay period
    • Any other source resulting in double payment

In these cases, PaidUp may:

  • Suspend or terminate your account
  • Offset the amount against future advances
  • Work with you to establish a repayment plan
  • Pursue recovery in accordance with applicable law
  • Report fraudulent activity to appropriate authorities

6. Fund Transfers and Payment Processing

6.1 Stripe Connect Integration

PaidUp uses Stripe Connect to process transfers. When you request an advance:

  1. Transfer: Funds are transferred from PaidUp's platform account to your individual Stripe Connect account
  2. Payout: Immediately following, a payout is initiated to your chosen payment method (debit card or bank account)

PaidUp is a technology service provider, not a bank. All transfers are processed by Stripe, Inc., a licensed payment processor.

6.2 Payment Method Requirements

You must link at least one valid bank account or debit card to your PaidUp account. All payment methods must:

  • Be in your legal name
  • Be issued by a U.S.-based financial institution
  • Be capable of receiving third-party transfers

6.3 Electronic Fund Transfer Authorization

By linking your bank account or debit card, you authorize:

  • PaidUp and Stripe to initiate electronic fund transfers (ACH credits or instant payouts) to your bank account or debit card
  • PaidUp and Stripe to reverse erroneous transactions in accordance with NACHA rules
  • PaidUp to use third-party service providers to verify your payment methods and process transactions

This authorization is required to receive advances and to receive the remainder of your paycheck after PaidUp retains the Assigned Earnings.

6.4 Your Right to Revoke Transfer Authorization

You may revoke your authorization for electronic fund transfers at any time by:

  • Unlinking your bank account or debit card from the PaidUp app
  • Contacting our support team at support@trypaidup.com
  • Closing your PaidUp account

Important: Revoking this authorization will:

  • Prevent you from receiving future advances (since we cannot transfer funds to you)
  • NOT affect the partial direct deposit modification for any pay periods with outstanding advances
  • NOT affect your employer's obligation to send the advance amount plus fees to the PaidUp account

Note: The remainder of your paycheck is sent directly by your employer to your designated bank account (not through PaidUp), so revoking this authorization does not prevent you from receiving that portion of your pay.

6.5 Funds Availability

The availability of funds depends on:

  • Your financial institution's funds availability policy
  • Transfer processing cut-off times
  • Weekends, federal holidays, and bank processing schedules

PaidUp is not responsible for delays caused by:

  • Your financial institution
  • Payment network outages
  • Incorrect payment information you provided
  • Stripe processing delays beyond PaidUp's control

6.6 Electronic Fund Transfer Rights

PaidUp complies with the federal Electronic Fund Transfer Act (15 U.S.C. §§ 1693 et seq.) and Regulation E (12 CFR Part 1005). Your rights include:

  • Documentation: View all transfer history in the PaidUp app
  • Error Resolution: Dispute erroneous transfers within 60 days by contacting support@trypaidup.com
  • Liability Limits: Limited liability for unauthorized transfers as described in Regulation E

To report an error: Contact support@trypaidup.com within 60 days of the error. We will investigate and respond within 10 business days (or 45 days for new accounts, as permitted by Regulation E).


7. Error Correction

If you receive funds in excess of what you were entitled to (an "Overpayment"), we will work with you to resolve the matter.

Our system does not support automated "clawbacks" or direct debits from your bank account to recover overpayments (beyond the direct deposit modification process described in Section 4).

Instead, you agree that we may resolve an Overpayment by:

  1. Giving you the option to authorize an additional direct deposit modification to recover the overpayment amount
  2. Offsetting the overpayment against your next available advance(s)
  3. Resolving the amount in another manner mutually agreed upon

If we cannot reach a resolution, we may recover the overpayment by retaining it from your next paycheck(s) via the direct deposit modification process.


8. Data Sharing and Your Consent

8.1 Required Data

The PaidUp Program relies on data provided by your Hiring Entity. By accepting these Terms and creating a PaidUp account, you consent to:

  • Your Hiring Entity sharing your employee information with PaidUp, including:

    • Your name, employee ID, and contact information
    • Your earnings, hours worked, and timecard information
    • Your gross and net pay for each pay period
    • Your payroll schedule and pay period dates
  • PaidUp directly accessing and modifying a portion of your direct deposit routing on your behalf through your employer's payroll system

8.2 Your Responsibility

You acknowledge that PaidUp relies exclusively on the accuracy of data provided by your Hiring Entity. We do not independently verify hours worked or earnings calculated by your employer.

Resolving any disputes regarding your hours or pay is your sole responsibility and must be addressed directly with your Hiring Entity.

8.3 Privacy

9. Pilot Program Disclosure

9.1 Current Status

PaidUp is currently operating a Pilot Program with an initial, limited group of Hiring Entities. You are eligible to participate if your employer has a signed agreement with PaidUp.

9.2 Pilot Limitations

During the pilot period:

  • Service may be temporarily unavailable during maintenance or updates
  • Some features may be added, removed, or modified
  • Advance processing times may vary as we optimize workflows
  • Your employer may impose lower advance limits or frequency restrictions
  • Direct deposit modification processes may vary by payroll system

9.3 Modifications During Pilot

As we gather feedback and scale our operations, we reserve the right to modify, suspend, or discontinue aspects of the Service. This may include changes to:

  • Fee structure
  • Percentage of Unpaid Earnings you can access
  • Types of transfers available
  • Features within the application
  • Direct deposit modification procedures

We will provide notice of material changes by:

Your continued use after such notice constitutes acceptance of the modified Terms. If you do not agree, you may close your account by contacting support@trypaidup.com.

9.4 Pilot Program Termination

PaidUp or your employer may terminate the pilot program at any time. If terminated:

  • Outstanding advances will still be repaid through the direct deposit modification process
  • Your direct deposit routing will be restored to your original bank account
  • Your PaidUp account will be closed after all advances are repaid
  • We will provide reasonable notice and transition assistance

10. Dispute Resolution by Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

You and PaidUp agree that any disputes or claims arising from these Terms or your use of the Service will be resolved exclusively through final and binding arbitration, rather than in court. The Federal Arbitration Act (9 U.S.C. §§ 1-16) governs this Arbitration Agreement.

10.1 Waiver of Class Action

YOU AND PAIDUP AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS and not as a plaintiff or class member in any purported class or representative action or proceeding.

10.2 Arbitration Process

Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The AAA's rules are available at www.adr.org.

10.3 Exception for Sexual Harassment and Assault Claims

As required by federal law, any dispute or claim relating to sexual harassment or sexual assault that arose after March 3, 2022, is not subject to arbitration at your election. You may choose to pursue such claims in court.


11. Definitions

  • "Amount Provided": The net amount of Assigned Earnings disbursed to you, calculated as the requested advance amount minus the transfer fee.

  • "Assigned Earnings": The specific portion of your Unpaid Earnings that you assign to PaidUp in a given transaction, including any applicable fees.

  • "Hiring Entity": The employer or company to which you provide services.

  • "Outstanding Advances": The total of all advances (including fees) that have been disbursed to you but not yet repaid through the direct deposit modification process.

  • "PaidUp," "we," "us," or "our": PaidUp Technologies, Inc., a Delaware corporation.

  • "Unpaid Earnings": Wages or fees you have earned for services provided to your Hiring Entity but have not yet been paid.

  • "Service" or "Program": The PaidUp platform and its associated earned wage access services.

  • "Verified Unpaid Earnings": Total earnings data provided by your Hiring Entity for work performed during the current pay period, as of the current date.


12. General Terms

12.1 Eligibility

You must be at least 18 years old and employed by a participating Hiring Entity to use PaidUp.

12.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

12.3 Service Availability

PaidUp makes no guarantee of continuous, uninterrupted service availability. We may suspend the Service for maintenance or other reasons with or without notice.

12.4 Modifications to Terms

We may modify these Terms at any time by posting the revised Terms at www.trypaidup.com and notifying you via email or in-app notification. Material changes will take effect 30 days after notice is provided. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12.5 Termination

You may close your PaidUp account at any time by contacting support@trypaidup.com. We may suspend or terminate your account if you violate these Terms or engage in fraudulent activity.

Upon termination:

  • You remain responsible for repaying all outstanding advances
  • Your direct deposit routing will be restored to your original bank account
  • We will retain certain information as required by law

12.6 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where the Federal Arbitration Act applies.

12.7 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PaidUp regarding the Service and supersede all prior agreements and understandings.

12.8 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
